From your participation to your first statement.

PHE resells Microsoft cloud to businesses. Your participation funds that compute, you see exactly how much of the spend goes to cost, and the margin earned each month is paid to you.

    You fund the compute

    Your participation funds Microsoft cloud that PHE delivers to its business customers, for a defined term and payout period set in your agreement.

  2. 02 / Deliver

    PHE delivers the cloud

    PHE provisions and manages the customer's Microsoft cloud services, and handles the vendor relationship, billing, collections and support. You run none of it.

  3. 03 / Collect

    The customer pays monthly

    Cloud is consumed and billed every month, like any subscription. As customers' AI and data workloads grow, so does the usage behind your participation.

  4. 04 / Settle

    Costs are settled

    From each month's receipts, PHE pays the Microsoft and distributor charges and the direct costs of delivering the cloud. You see how much went to compute cost; what remains is the margin.

  5. 05 / Receive

    The margin is yours

    100% of the actual margin on your participation is allocated to you. It is calculated monthly and paid within 30 days after month-end, with a statement showing the numbers.

  6. 06 / Complete

    Your term runs its course

    Margin keeps flowing for the length of the payout period in your agreement. At the end of the term everything is reconciled and your participation concludes as the agreement sets out.

Before you invest.

Who can invest?

Everyone. The crowdfunding offering is open to the public through a registered funding portal. Accredited investors can also invest directly with PHE through the private offering, which requires us to verify accredited status.

I'm not an accredited investor. Can I still take part?

Yes. That is what the crowdfunding offering is for. You invest online through the funding portal, where the full offering statement is available. Federal rules limit how much non-accredited investors can put into crowdfunding offerings each year; the portal applies those limits for you.

What am I actually investing in?

A participation agreement with PHE. Your funds go toward the Microsoft cloud PHE resells to businesses, and you receive the margin that compute produces during your payout period, with monthly visibility into how much of the spend went to compute cost. You are not buying shares in PHE, in Microsoft or in a fund.

How is this an AI investment?

AI workloads run on cloud infrastructure, and the growth of AI shows up as cloud consumption. The program participates in Microsoft cloud transactions — the platform much of enterprise AI is built on. It is exposure to that demand, not to any single AI company.

What returns should I expect?

Your return is the margin your participation earns: the difference between what customers pay for their Microsoft cloud and what that cloud costs to deliver. It's calculated every month from real usage and real payments, and 100% of it is allocated to you. Because it follows actual usage, it varies from month to month; your offering documents set out exactly how it's calculated.

Will I get my principal back?

At the end of your term the participation is reconciled and funds are returned as your agreement sets out. Your offering documents describe the term, the payout period and how the wind-down works, so you know what to expect before you sign.

Can I get out early?

Early termination is possible only with PHE's approval and may carry an adjustment. There is no secondary market, so treat this as a commitment for the full term.

What happens after I create an account?

You secure the account with two-step verification and answer a few questions. Your answers decide which offering fits you, and your portal shows the next steps: either the funding portal for crowdfunding, or a personal follow-up with the offering memorandum for the private offering. You commit nothing by signing up.
